Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Powerful Insight Ventures LLC d/b/a VeroFin, a Florida limited liability company ("VeroFin," "we," "us," or "our"). By accessing or using our platform at verofin.co (the "Platform"), you agree to be bound by these Terms.
The Platform is designed and offered exclusively for business customers located in the United States in connection with their obligations under U.S. law (including FinCEN's Residential Real Estate Reporting Rule). We do not market, target, or intentionally make the Platform available to individuals or organizations located in the European Economic Area, the United Kingdom, or any other non-U.S. jurisdiction, and you may not use the Platform if you are prohibited from doing so under applicable law.
1. Service Description
VeroFin provides an AI-powered software-as-a-service platform that assists regulated entities with FinCEN Beneficial Ownership Information (BOI) reporting under the Real Estate Reporting Rule. The Platform uses autonomous AI agents to extract data from uploaded closing documents, validate extracted fields, and generate FinCEN-compliant XML files for BSA E-Filing submission.
2. Eligibility and Account Registration
The Platform is designed for use by licensed attorneys, law firms, title companies, and other reporting persons as defined under FinCEN regulations, in each case operating from within the United States. By registering, you represent that:
- You are authorized to act on behalf of the entity you represent.
- You are at least 18 years of age and have the legal capacity to enter into these Terms.
- The information you provide during registration is accurate and complete.
- You and the entity you represent are located in the United States and are using the Platform solely in connection with U.S. regulatory obligations.
- You will maintain the security of your account credentials and notify us immediately of any unauthorized access.
3. Subscription Plans and Payment
3.1 Plans
VeroFin offers the following service tiers:
- Solo — $149 per filing (pay-as-you-go).
- Boutique — $500/month, includes up to 20 filings per month.
- Enterprise — Custom pricing. Contact support@verofin.co for a tailored agreement.
3.2 Billing
Payments are processed through Stripe, Inc. Subscription fees are billed in advance on a monthly basis. One-time filing fees are charged at the time of processing. All fees are non-refundable unless otherwise specified in writing. We reserve the right to modify pricing with 30 days' advance notice.
3.3 Cancellation
You may cancel your subscription at any time through the Platform settings or by contacting support@verofin.co. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial months.
4. Client Responsibilities
You agree that:
- Accuracy of Uploads: You are solely responsible for the accuracy and completeness of all documents uploaded to the Platform.
- Review Obligation: All AI-generated extractions and XML outputs must be reviewed by a qualified professional before submission to FinCEN. VeroFin does not file reports on your behalf.
- Compliance Responsibility: You retain full responsibility for regulatory compliance. VeroFin is a tool that assists with report preparation, not a substitute for professional judgment.
- Authorized Use: You will not upload documents containing information you are not authorized to process.
5. Intellectual Property
All content, software, algorithms, designs, trademarks, and other intellectual property associated with VeroFin are owned by Powerful Insight Ventures LLC. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for its intended purpose during your active subscription period.
You retain all ownership rights to the documents you upload and the data extracted from them. We claim no intellectual property rights over your content.
6. Data Handling and Security
Our data practices are described in detail in our Privacy Policy. In summary:
- All data is encrypted in transit (TLS 1.3) and at rest (AES-256).
- Each client's data is logically isolated via row-level security policies.
- We do not use your data to train AI models or share it with third parties except as necessary to provide the service (e.g., LLM processing).
- AI processing providers receive document content solely for extraction; no data is retained by these providers beyond the processing session.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VEROFIN AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO VEROFIN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
8. Indemnification
You agree to indemnify, defend, and hold harmless Powerful Insight Ventures LLC, its members, managers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any law or regulation; or (d) inaccuracies in documents or data you upload or submit through the Platform.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE FREE OF ERRORS.
10. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause, upon written notice. Upon termination: (a) your license to use the Platform immediately ceases; (b) we will make your data available for export for a period of 30 days; (c) after the 30-day export period, your data will be permanently deleted from our systems.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.
12. Modifications to Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email to the address associated with your account at least 30 days prior to taking effect. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
14. Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, and any signed Enterprise agreements, constitute the entire agreement between you and VeroFin regarding the use of the Platform and supersede all prior agreements and understandings.

16. Dispute Resolution and Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform (a "Dispute") shall first be the subject of good faith negotiations between the parties. If the parties are unable to resolve the Dispute within thirty (30) days, the Dispute shall be finally resolved by binding arbitration administered by a recognized arbitral institution in Miami-Dade County, Florida, before a single arbitrator. The language of the arbitration shall be English. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened misuse or infringement of its intellectual property or confidential information.
17. Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, REPRESENTATIVE, OR COLLECTIVE ACTION. YOU FURTHER AGREE THAT YOU WILL NOT PARTICIPATE AS A CLASS MEMBER OR REPRESENTATIVE IN ANY SUCH PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
18. Force Majeure and Service Availability
We shall not be liable for any failure or delay in performance of our obligations under these Terms to the extent caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, failures of third-party hosting or network providers, power outages, or changes in laws or regulations (each, a "Force Majeure Event"). The Platform is provided without any guaranteed service levels, uptime commitments, or warranties of continuous availability unless expressly agreed to in a separate written agreement signed by both parties.
19. Enterprise and Custom Agreements
From time to time, VeroFin may enter into separately negotiated master service agreements, data processing agreements, business associate agreements, or other written contracts with enterprise customers (collectively, "Enterprise Agreements"). In the event of any conflict between these online Terms and an executed Enterprise Agreement, the Enterprise Agreement shall control with respect to the subject matter of that agreement.
20. Territorial Scope; Non-U.S. Users
The Platform is intended for use only by clients located in the United States in connection with their obligations under U.S. law. We do not represent that the Platform is appropriate or available for use in any other jurisdiction, and we make no commitment that the Platform or its outputs will satisfy the legal or regulatory requirements of any non-U.S. country or regulator. If you access the Platform from outside the United States, you do so on your own initiative and are solely responsible for compliance with all applicable local laws; you agree that VeroFin shall have no liability arising from any such non-U.S. access or use.
